Welcome to Ellaya www.ellaya.co.uk – your digital secretary for modern life. This User Agreement (“Agreement”) sets out the terms under which you may access and use the Ellaya platform, including all related services, features, and content. By registering for an account or using the platform in any way, you agree to be bound by this Agreement.

If you do not agree to these terms, you must not use the platform.

Ellaya is a UK-based digital platform operated by Ellaya Ltd with the office address Ellaya ltd, Regus, 1010 Cambourne Business Park, Cambourne, Cambridge, CB23 6DP, UK. You can contact us at info@ellaya.co.uk.

Eligibility

To use Ellaya, you must meet all of the following criteria:

• Minimum Age Requirement: You must be at least 16 years old to create an individual user account. If you are under 18, you may only use the platform under the supervision of a parent or legal guardian who agrees to be bound by this Agreement on your behalf.
• Capacity to Contract: You must have the legal capacity to enter into binding contracts under applicable law. By registering or using Ellaya, you represent and warrant that you meet this requirement.
• Business Accounts: If you are registering an account on behalf of a company, partnership, sole proprietorship, or other legal entity, you confirm that you are authorised to act on behalf of that entity and to bind it to this Agreement. You also agree that the entity is responsible for all activity under the account.
• Compliance with Laws: You may only use Ellaya if it is lawful to do so in your jurisdiction. It is your responsibility to ensure your use of the platform complies with all applicable laws and regulations, including those related to online conduct, data protection, e-commerce, and content standards.

We reserve the right to suspend or terminate any account that violates these eligibility requirements or where we reasonably believe the user does not meet them.

Account Registration

To access and use certain features of Ellaya, you must register for an account. By creating an account, you agree to the following:

• Accuracy of Information: You warrant that all registration information you provide is true, current, and complete. You agree to promptly update your account details to reflect any changes, including changes to your contact information, legal status (if registering on behalf of a business), or payment details.
• Account Security: You are solely responsible for maintaining the confidentiality and security of your account credentials (including your password or access tokens) and for all activities conducted through your account. You agree to notify us immediately at info@ellaya.co.uk if you suspect or become aware of any unauthorised access to or use of your account.
• One Account Per User: Each individual or entity is permitted to maintain only one active account unless expressly authorised in writing by Ellaya. Creating multiple accounts for the purpose of abusing platform functionality or misleading others is strictly prohibited.
• Account Ownership: Accounts registered by individuals are deemed to be owned by the individual who created them. Business accounts are deemed to be owned by the organisation listed in the registration, and the person creating the account represents that they have the necessary authority to bind that entity.
• Platform Communications: By registering, you agree to receive communications from Ellaya regarding your account, security alerts, service updates, and legal notifications. You may also opt into receiving marketing communications, which can be disabled at any time.

We reserve the right to suspend, restrict, or terminate any account that we reasonably believe is in breach of this Agreement, contains false or misleading information, or poses a risk to the platform or its users.

Platform Services

Ellaya is an integrated digital platform designed to simplify and support various aspects of modern life. By registering for an account, you gain access to a wide range of tools, applications, and services, which may include:

• Intelligent Scheduling – Automated calendar and task management tools that help you organise meetings, set reminders, and manage your time efficiently.
• Secure Databank and Personal Vault – A private, encrypted storage system for sensitive personal documents, media, and credentials, accessible only to you and those you authorise.
• Social and Messaging Features – Tools enabling you to communicate with other users through direct messaging, conferencing, and integrated social feeds.
• E-commerce Marketplace – A platform where businesses can sell goods and services to individuals, and users can browse, purchase, and review listed items. Separate Buyer and Seller Agreements will apply to transactions on the marketplace.
• RideHub Integration – Access to partnered ride-booking services from within the Ellaya interface, subject to the terms of the third-party ride providers.
• Support and Concierge Services – Optional services including e-commerce support, scheduling assistance, and administrative tools to enhance personal and professional productivity.

We reserve the right to add, modify, suspend, or discontinue any service or feature at our sole discretion. While we strive to maintain uninterrupted access to the platform, we make no guarantees regarding uptime, availability, or performance and shall not be liable for any loss resulting from the temporary unavailability of any feature.

Some services may require additional identity verification, payment information, or acceptance of supplementary terms, which will be presented to you prior to activation or use.

Acceptable Use

You agree to use Ellaya in a lawful, responsible, and respectful manner. By accessing or using the platform, you confirm that you will not engage in any activity that:

• Violates Law or Regulation – Breaches any applicable local, national, or international law, regulation, or code of conduct, including laws related to privacy, intellectual property, consumer protection, online safety, data protection (e.g. the UK GDPR), or criminal conduct.
• Infringes Rights – Infringes upon the rights of others, including but not limited to intellectual property rights (e.g. copyrights, trademarks), privacy rights, or contractual rights.
• Uploads Prohibited Content – Posts, uploads, transmits, or distributes any content that is:
  • defamatory, obscene, pornographic, or offensive
  • threatening, abusive, harassing, or discriminatory (including on grounds of race, gender, religion, disability, or sexual orientation)
  • false, misleading, or deceptive
  • intended to incite violence or hatred
• Disrupts Platform Integrity – Introduces any viruses, malware, or harmful code, attempts to gain unauthorised access to any part of the platform, reverse-engineers platform functionality, overloads systems, or circumvents security or access controls.
• Misuses Platform Services – Uses any feature of Ellaya for spam, unsolicited marketing, phishing, impersonation, or attempts to collect or harvest personal information of other users without lawful basis and their express consent.
• Engages in Unauthorised Commercial Activity – Uses the platform to promote, offer, or sell products or services outside the permitted scope (e.g., unlicensed goods, prohibited services, or non-compliant business activities), or to facilitate transactions that violate Ellaya’s Seller Agreement or Buyer Agreement.
• Undermines User Safety or Trust – Interferes with or disrupts other users’ enjoyment of the platform, including posting fraudulent reviews, impersonating others, or engaging in manipulative or deceptive conduct.

We reserve the right to monitor use of the platform (in accordance with our Privacy Policy) to enforce this clause, and to remove or restrict access to content or accounts that violate this Agreement. Repeated or serious breaches may result in permanent account termination and reporting to relevant authorities.

Data Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal data. By using Ellaya, you consent to the processing of your data in accordance with that policy.

Intellectual Property

Ownership of Platform Content: All intellectual property rights in the Ellaya platform, including but not limited to its software, source code, databases, designs, trademarks, trade names, service marks, branding, logos, layout, and all text, images, audio, video, and other content (collectively, “Platform Content”), are owned by Ellaya or its licensors. All such rights are protected under UK and international intellectual property laws and treaties. Except where expressly permitted under this Agreement, you may not copy, modify, adapt, distribute, sell, license, reverse-engineer, decompile, or otherwise exploit any part of the Platform Content without prior written consent from Ellaya.

Licence to Use the Platform: Subject to your compliance with this Agreement, Ellaya grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for personal or authorised business purposes. This licence does not grant any rights to exploit the platform for unauthorised commercial purposes.

User-Generated Content: If you upload, post, submit, or transmit any content to the platform (“User Content”), including profile data, communications, files, reviews, listings, or media, you grant Ellaya a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, display, use, reproduce, modify, and distribute such content solely for the purpose of operating, improving, and promoting the platform. You represent and warrant that:

• you own or have lawful rights to all User Content you upload or share;
• your content does not infringe any third party’s rights or violate applicable law;
• you are solely responsible for any legal consequences arising from your User Content.

Ellaya does not claim ownership of your User Content and does not undertake to monitor or pre-approve any uploads, but we reserve the right to remove or restrict any content that violates this Agreement or applicable law.

Infringement Claims: If you believe that any content on the platform infringes your intellectual property rights, please contact us promptly at info@ellaya.co.uk with a detailed notice of infringement. We reserve the right to remove infringing material and terminate repeat infringer accounts in accordance with applicable law.

Third-Party Services

Ellaya may integrate or interoperate with services, applications, or platforms provided by third parties (“Third-Party Services”). These may include, but are not limited to, ride-booking services, payment processors, cloud storage providers, messaging platforms, calendar tools, and e-commerce applications.

Your use of any Third-Party Service is subject to the terms and privacy policies of the respective third-party provider. Ellaya does not control, endorse, or assume responsibility for any Third-Party Services, including their availability, performance, security, accuracy, or content.

By choosing to access or connect to a Third-Party Service through Ellaya, you do so at your own risk and discretion. You are solely responsible for reviewing and complying with the third party’s terms and for ensuring the security of any credentials or data you share with or through that service.

We are not liable for any loss, damage, or harm resulting from your use of or reliance on any Third-Party Service, including service disruptions, data loss, or unauthorised access that may occur via third-party integrations.

Ellaya reserves the right to add, remove, modify, or discontinue integrations with any Third-Party Services at any time without notice. Such changes may impact the availability or functionality of certain features on the platform.

Unless explicitly stated, your use of a Third-Party Service through Ellaya does not imply any partnership, agency, endorsement, or affiliation between Ellaya and the third-party provider. All trademarks, logos, and service marks of third parties remain the property of their respective owners.

Termination

You may terminate your account at any time by using the account settings feature on the platform or by contacting us at info@ellaya.co.uk. Upon termination, you will no longer have access to your account or any content, files, or data stored therein, and Ellaya is under no obligation to retain or retrieve such data unless required by law.

We reserve the right to suspend or terminate your access to Ellaya, with or without prior notice, at our sole discretion, if:

• you breach this Agreement or any applicable law or regulation;
• you misuse or abuse any platform services or violate our Acceptable Use terms;
• your account is inactive for a prolonged period (e.g. 12 months or more), and we reasonably determine it is abandoned;
• continued use of your account poses a risk to the platform, its users, or third parties.

Where reasonable, we will notify you in advance of termination and provide an opportunity to remedy any breach, unless immediate termination is justified due to serious misconduct, legal obligation, or platform security risks.

Upon termination:

• all rights and licences granted to you under this Agreement will immediately cease;
• you must discontinue all use of the platform;
• we may delete or anonymise any content, files, or data associated with your account, unless legally required to retain it (e.g., for dispute resolution, fraud prevention, or tax records);
• if you were using paid services, any remaining balances or fees owed remain payable.

The termination of your account will not affect the enforceability of any provisions of this Agreement which, by their nature, are intended to survive termination. These include, but are not limited to: intellectual property rights, disclaimers, limitation of liability, indemnities, dispute resolution, and governing law clauses.

Limitation of Liability and Indemnification

To the fullest extent permitted by law, Ellaya, its directors, employees, affiliates, partners, licensors, and service providers shall not be liable to you or any third party for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with:

• your access to or use of (or inability to access or use) the platform;
• any conduct or content of other users or third parties on the platform;
• any transaction, communication, or relationship initiated via the platform;
• any errors, omissions, delays, interruptions, system failures, or data loss;
• any reliance placed on content or services accessed via Ellaya;
• unauthorised access, hacking, or security breaches affecting your account or data.

This includes, without limitation, loss of profits, loss of revenue, loss of anticipated savings, loss of goodwill, loss of business opportunity, loss of data, or any other intangible losses, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising under or in connection with this Agreement or your use of Ellaya shall not exceed:

• the greater of £100 or
• the total fees (if any) paid by you to Ellaya in the six (6) months preceding the claim.

Nothing in this Agreement limits or excludes our liability for:

• death or personal injury caused by our negligence;
• fraud or fraudulent misrepresentation; or
• any other liability that cannot be lawfully limited or excluded under applicable UK law.

You agree to indemnify, defend, and hold harmless Ellaya and its officers, directors, employees, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from or related to:

• your access to or use of the platform;
• your breach of this Agreement or any applicable law;
• your User Content; or
• your interactions with other users or third parties.

Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from or related to this Agreement.

No Waiver/Severability

If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and will not affect the validity of the remaining terms. Failure by Ellaya to enforce any right or provision shall not constitute a waiver.

Changes to the Agreement

We may update this Agreement from time to time. Changes will be posted on this page, and continued use of Ellaya constitutes your acceptance of the revised terms.
